The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

- “Feedback” means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
- “Service” refers to the Website.

- “Third-party Social Media Service” means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

- “You” (and “Your”) means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Acknowledgment
These are the Terms of Service governing the use of this Service and the agreement that operates between You and the Company. These Terms of Service set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms of Service. These Terms of Service apply to all visitors, users and others who access or use the Service.
By accessing or using the Service You agree to be bound by these Terms of Service. If You disagree with any part of these Terms of Service then You may not access the Service.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.
General
1.1 – Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) offers a variety of subscription-based and fixed-cost plans, each with its own scope, inclusions, and flexible terms.
1.2 – The Cakecrumbs Essentials Plan is available on both monthly and annual billing cycles. This plan can be cancelled at any time with a minimum of one month’s written notice. There are no contracts, cancellation fees or setup charges associated with this plan.
1.3 – The Cakecrumbs eCommerce Plan is also available on both monthly and annual billing cycles. Clients choosing the monthly payment option agree to a minimum commitment of twelve (12) months. Early termination prior to the end of the twelve-month period will result in the remaining balance being invoiced in full.
1.4 – The Cakecrumbs Shopify Plan is a one-off Service provided for a fixed fee. There are no ongoing subscriptions, contracts, or recurring charges payable to Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) in relation to this plan. Please note that use of the Shopify platform itself is subject to separate monthly or annual subscription fees payable directly to Shopify.
1.5 – Clients on any pay-monthly plan wishing to pause their subscription may do so; however, a reactivation fee applies upon resumption of Services. The reactivation fee is £199.00 + VAT.
Payment
2.1 – All payments for Services provided by Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) — including subscription fees (monthly or annual) and one-off setup/build costs — are processed securely via our payment provider, Stripe. All fees are non-refundable.
2.2 – For monthly subscriptions, the first payment will be charged at the point of sign-up, unless a promotional offer applies (e.g. first month free or first month at £1). Where such offers are in place, the relevant amount will be charged immediately, with standard billing commencing thereafter. Annual subscriptions are charged in full at the time of sign-up.
2.3 – Where a setup or build cost applies, it is charged at the point of sign-up alongside the initial subscription fee, unless specified otherwise within a promotion or bespoke agreement. Services will not commence until payment has been successfully received.
2.4 – Any work requested that falls outside the scope of Your selected Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) plan will be quoted separately and must be agreed upon by both parties before commencement. Payment for additional work is due via bank transfer, or debit/credit card.
2.5 – Failure to make payment within five (5) calendar days of the due date will result in temporary suspension of Services. This is an automated process. Services will be reinstated automatically once the outstanding balance has been paid.
2.6 – Accounts overdue by more than fourteen (14) calendar days may result in full cancellation of Services. This includes Service hosting, mailboxes, SSL certificates, and domain names where applicable.
2.7 – Invoices overdue by more than thirty (30) calendar days may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 and the Late Payment of Commercial Debts Regulations 2002. Interest calculations will be based on the guidelines provided at https://www.payontime.co.uk/
Design and Build Process
3.1 – Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) Services are designed for businesses that need a modern, responsive, content-managed Service—fast. Built with care and clarity, our process keeps things efficient and cost-effective without compromising on quality.
3.2 – Every Cakecrumbs Service is designed and built from scratch. We never use generic, off-the-shelf templates. Your Service is uniquely tailored to You—designed with purpose, not pulled from a library.
3.3 – Building Your Service is a collaborative, step-by-step journey. Broadly, this is how it works;
Step 01 – We’ll start with a quick discovery call to see if we’re a good fit. You’ll meet the team, learn how we work, and we’ll answer any early questions.
Step 02 – On the call, we’ll dive into the details—what Your Service needs to do, how You want it to look, and the functionality You have in mind. We’ll also review inspiration, competitor sites, and any references You have.
Step 03 – Once we’re aligned, we’ll confirm Your plan, take care of the admin bits, and get You set up on Slack—our central hub for all project communication, updates, and file sharing.
Step 04 – We’ll then get creative—designing a homepage (and product template page if needed) that sets the tone. You’ll receive a live link to review and feed back on. Once signed off, we’ll continue to build the rest of Your Service using the same design language.
Step 05 – We’ll bring it all together—adding Your Content, refining the layout, testing functionality, and optimising for mobile. Final tweaks are made before going live.
Step 06 – The big moment—we launch! Your Service goes live, but our support doesn’t stop there. Ongoing updates and development are all part of the journey.
3.4 – Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) Service plans are designed to be lean and efficient. As such, our subscription plans do not include bespoke or complex development beyond the standard features offered within each plan.
3.5 – To keep costs streamlined, the following Services are not included in Cakecrumbs Service plans:
- Custom animations built by us
- Custom video Content created by us
If You need these, we’re happy to quote for them separately.
3.6 – To keep everything simple and centralised, all project communication is conducted via Slack and video calls. This helps us maintain speed and clarity.
3.7 – The quality of Your Service’s design depends on the quality of the design brief You provide. The more information, references, and direction You can give us from the start, the better the outcome.
3.8 – Design feedback and amendments are encouraged and welcomed. However, if we’ve followed Your original brief and any reasonable design preferences, we’re unable to restart the design process from scratch without a separate quote or plan upgrade.
3.9 – Need something after go-live? No problem. Design changes, upgrades, and additional features can be handled through a plan upgrade or quoted as a separate project.
3.10 – Each Cakecrumbs Service subscription includes 30 minutes of development time per month for small updates—things like text tweaks, image swaps, or minor Content changes. Please note: this time does not roll over month-to-month.
3.11 – For security and intellectual property reasons, we do not provide top-level administrative access to Cakecrumbs websites. This helps protect against cloning, tampering, and unnecessary risk.
3.12 – We’ve made every effort to clearly outline what is and isn’t included. However, given the creative and evolving nature of web design, it’s not possible to define every edge case in advance. If something falls outside the scope of your chosen plan, we’ll always flag it clearly and offer options for moving forward.
eCommerce Websites
4.0 – Our Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) eCommerce Services are designed to provide a solid, flexible foundation for online selling. We aim to keep things simple while giving You the tools You need to run a successful online store. Here’s what You need to know.
4.1 – All Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) eCommerce Services include a robust set of standard features designed to support both physical and digital product sales. While the full list of inclusions will vary slightly depending on Your plan, Your Service will be equipped with the core functionality required for modern eCommerce, including (but not limited to):
- Support for unlimited products and variations
- Payment provider/processor integration
- Delivery, local pickup, and shipping options
- Configurable shipping rates and free shipping options
- Automated tax calculations with geo-location support
- Customer Accounts and guest checkout
- One-click refunds
- Inventory and order management
- Email notifications
- Shop manager roles
- Voucher/coupon code functionality
- Related product displays
- Basic reporting on sales and product performance
Please note: this list is representative, not exhaustive. Specific features will be aligned with Your selected plan.
4.2 – We will integrate Your selected payment provider(s) as part of the build process. However, setup, verification, and ongoing management of Your payment gateway Accounts (e.g. Stripe, PayPal) are solely Your responsibility. We may request temporary access in order to complete integration; this will be handled securely and with full transparency.
4.3 – To get You started, we will upload up to 5 products, each with up to 5 variations, as example templates. This gives You a base to build from, along with guidance on how to manage Your store going forward. You are responsible for uploading and managing the remainder of Your product catalogue. Training and documentation will be provided where needed.
If You require bulk upload or product population beyond the included setup, we’re happy to quote this separately.
4.4 – If You’re moving from another platform, we can assist with product data migration using Third-party tools such as Cart2Cart. Please note:
- Third-party migration Services may incur additional costs depending on Your current platform and product volume.
- Manual data entry or migration by the Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) team is not included as standard and will need to be quoted separately if required.
4.5 – It is Your responsibility to provide all necessary store policies for Your eCommerce Service. This includes, but is not limited to:
- Privacy Policy
- Terms & Conditions
- Returns & Refund Policy
- Shipping Policy
These policies are essential for protecting Your business and ensuring legal compliance. If You do not already have these documents prepared, we recommend using a reputable Third-party service such as Termly to generate them. These tools are designed to help small businesses quickly create compliant, easy-to-understand legal documents.
Please note: Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) does not provide legal advice or draft store policies on Your behalf. We are happy to add the Content to Your Service once provided but cannot advise on wording or regulatory compliance.
4.6 – We’ve outlined the key elements of what You can expect from our eCommerce offering, but by nature, eCommerce functionality can vary significantly based on requirements. For this reason, it is not possible to detail every feature or integration in advance. Any additional features, custom functionality, or Third-party integrations not covered by Your selected plan may be quoted separately.
Ownership
5.1 – Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) operates a fully managed, subscription-based Service. This means Your Service is built and maintained by us, hosted on infrastructure we manage, and supported as part of an ongoing service agreement. Where a Service is built using the Shopify platform, standard Shopify Terms of Service apply unless otherwise agreed.
To clarify:
- You own the Content You provide to us—such as copy, images, videos, branding assets, and any original intellectual property.
- You do not own the underlying Service code, framework, or proprietary systems used to create and maintain Your Service.
- Your Service is hosted and maintained as part of Your active subscription with us (unless otherwise stated or built using the Shopify platform). If Your subscription ends, access to the live Service and platform functionality will cease.
This model is designed to keep costs predictable, streamline performance and security updates, and remove the technical burden from You and/or Your team. It also means we can continue improving the Service for all users.
If You require a fully bespoke build with full code ownership, this would fall outside the scope of Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) Services and would need to be scoped and quoted as a custom development project.
5.2 – Cakecrumbs (a subsidiary of Onward Digital Ltd also trading as Onward Agency) Services are hosted on our servers and cannot be transferred. Shopify sites are hosted by Shopify but managed via the Shopify Partner Portal.
5.3 – SSL certificates are owned and hosted by Onward Digital Ltd (trading as Onward Agency and Cakecrumbs) and are non-transferable. SSL certificates are only included when domains are hosted with us. Extended SSLs for external hosting can be provided at additional cost.
5.4 – You own Your domain name(s) and mailboxes. These can be transferred away from us at any time, free of charge.
5.5 – We reserve the right to include a footer credit referencing Onward Agency or Cakecrumbs, along with an external link to our respective website(s). This will typically appear in the following format: Copyright © | All Rights Reserved | Onward Agency (linked) or Cakecrumbs (linked). The footer credit may only be removed with prior agreement or upon payment of a removal fee proportionate to the projected loss of referral traffic, brand exposure, and domain authority resulting from its removal.
Invalidity
6.1 – If any part of these Terms is unenforceable, the validity of the remaining Terms will not be affected.
Liability
7.1 – Except for death or personal injury caused by negligence, our liability is limited to foreseeable losses.
7.2 – You are responsible for any claims, costs or damages arising from Your breach of these Terms.
7.3 – If we lose or damage Your goods due to negligence, we will repair, replace, or refund the item’s value (minus wear and tear).
7.4 – Nothing in these Terms limits our liability for death or personal injury due to negligence.
Governing Law and Jurisdiction
8.1 – These Terms are governed by and interpreted in accordance with the laws of England. Disputes will be subject to the exclusive jurisdiction of English courts.
Entire Agreement
9.1 – These Terms represent the entire agreement and override any prior discussions or agreements.
Customer Services
10.1 – Please read these Terms carefully. If You have any questions, contact us before proceeding.
10.2 – If You’re unhappy with our Service, let us know. We’ll handle complaints fairly and aim for a prompt resolution.
Changes to our Terms of Service
11.1 – We may make minor changes to these Terms from time to time. Major changes will only be made with Your agreement.
Data Protection
12.1 – You consent to the storage and processing of Your data by us and our partners for legitimate business needs. If You breach these Terms, Your data may be shared with Third parties to support recovery processes.
